B2B Terms of Service
These online terms and conditions of sale (hereinafter referred to interchangeably as the "Terms and Conditions" or the "Contract") are offered by 100percent France, registered with the RCS of LYON under number 878 238 898, with its registered office located at 1 bis Allée du Crêt ZAC du Parc d'Activité, 69890 La Tour-de-Salvagny (hereinafter the "Seller", "100%" or "we").
ARTICLE 1: SCOPE OF APPLICATION
These General Terms and Conditions (“Terms”) aim to define the terms and conditions for the sale of various supplies and equipment (e.g., Products for motorcycling, cycling, running, baseball, etc.) (hereinafter individually or collectively referred to as the “Product” or “Products”) offered by 100% to professionals (hereinafter individually or collectively referred to as the “Client” or “Professional,” “You”) via the website: https://pro100percent.eu/ (hereinafter the “Website”).
These Terms govern solely the sale of Products on the Website to Professionals.
By accepting these Terms, the Client acknowledges that they are a Professional, meaning a natural or legal person, public or private, acting for purposes and needs within the scope of their commercial, industrial, craft, professional, or agricultural activity, including when acting on behalf of or for another professional.
The Seller and the Client together form the parties to the sales contract (hereinafter individually a “Party” and collectively the “Parties”).
These Terms remain accessible and printable at any time via a hyperlink available at the bottom of each page of the Website.
ARTICLE 2: ACCEPTANCE OF THE TERMS AND CONDITIONS
Any order placed on the Website implies that the Client has read and understood these General Terms and Conditions and accepts their content without reservation.
Confirmation of an order following the procedure provided on the Website, as described below, constitutes acceptance of these Terms. These Terms, together with the order confirmation sent by the Seller, constitute the sole agreement between the Parties regarding the subject of the order and take precedence over any other contractual document.
The Seller reserves the right to modify these Terms and Conditions. The Terms applicable to a given transaction shall be those in effect and accepted by the Client on the date of validation of their order.
ARTICLE 3: ORDERING PROCEDURE ON THE 100% WEBSITE
3.1 Web site registration Procedure
The Client needs an email address to place an order. Registration as a registered user is free.

3.2 Orders
100% makes available on the Website the essential characteristics and technical information of the Products, as well as pricing information for said Products.
The Client acknowledges having reviewed the relevant information prior to placing an order.
Orders and deliveries are accepted only within the European Union. When the Client submits an order on the Website, the Seller sends the Client an email acknowledging receipt of the order (“Order Confirmation”). The Seller will also send an email confirming that the Products have been shipped (“Shipping Confirmation”).
Products displayed on the Website are generally in stock and ready for shipment. All sizes or colors that are out of stock are marked as unavailable. However, the Seller may encounter stock issues, particularly when Clients place orders for Products at the same time.
If the Seller is unable to ship an item already ordered due to Product unavailability, the Seller will inform the Client as soon as possible. In such case, the Seller will cancel or reject that part of the order, and the corresponding amount will be refunded to the Client or not charged.
If the Client has placed an order by mistake, or wishes to cancel an order before it has been shipped, the Client must immediately contact 100% customer service by sending an email to: wholesale@100percent.eu 100% will make its best efforts to find a solution.
The Seller cannot make or accept changes to an order (address, size, color) once the Client has placed the order.
An order placed by the Client may be rejected for any legitimate reason, including but not limited to the following situations:
• The Client’s billing information is incorrect or cannot be verified;
• The order is flagged by the Seller’s security systems as indicating fraud, a potential offense, or a security issue;
• The Client is not a Professional;
• In the event of force majeure;
• Due to circumstances or events beyond the Seller’s control.
The Contract is formed only upon express acceptance of the order by 100% via email to the Client and after full payment of the order has been received.
ARTICLE 4: PRICE, PAYMENT, AND PROMOTIONS
4.1 Price
The price of the Products is the price in effect at the time the order is placed and is expressed in euros, excluding taxes.
Delivery costs are not included in the indicated Product prices and are payable in addition to the price of the Products ordered. Delivery costs are also indicated in euros (€) prior to placing the order. The total price displayed on the final payment screen includes taxes and shipping costs. This price will be reiterated in the Order Confirmation.
Free shipping will apply to any order with a total amount exceeding €250, excluding taxes.
PRICE CHANGES
The prices of the Products shall be those displayed on the Website at the time the Client validates the Order.
Prices displayed on the Website may change; however, such changes will not affect any orders that have already been confirmed by 100%.
4.2 Payment Terms
The Client must pay the full amount of the order at the time of validation.
4.3 Late Payment
In the event of failure to pay by the due date, the Client shall be liable for late payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by ten (10) percentage points. Such penalties shall accrue from the day following the payment date indicated on the invoice. Late payment penalties shall be payable automatically, without any prior notice from the Seller.
A fixed compensation of forty (40) euros for recovery costs shall be payable in the event of late payment, in accordance with Articles L441-10 and D441-5 of the French Commercial Code. If the recovery costs actually incurred exceed the amount of this fixed compensation, the Seller may claim additional compensation upon presentation of supporting evidence.
If the Client has not paid the sums due (including interest and the fixed recovery compensation) within fifteen (15) days following the initial due date, the sale shall be automatically terminated by operation of law and may entitle the Seller to claim damages.
4.4 Payment Methods
Payment can be made via bank transfer, credit card (Mastercard, Visa, American Express), PayPal, or other methods applicable in the Client’s country.
Article 4.5 Promotional Offers / Discounts
The promotional code can only be used once and is valid only for purchases on https://pro100percent.eu/.
The total order amount must exceed the value of the discount code.
The promotional code must be entered on the cart page in the “Enter your promotional code” field, then click “Apply” (to be confirmed).
Please note the following:
· Only one promotional code can be used per order, unless otherwise stated.
· It is not possible to combine discount codes with existing promotional offers.
· In the event of a return, the value of the promotional code will be proportionally allocated across the items in the order.
The order will be confirmed and may be delivered once the Client has completed the payment and it has been accepted.
In cases where the payment is declined, 100% may contact the Client to offer an alternative payment method.
Article 4.6: Intra-Community VAT
For any order placed by a professional Client established in a European Union Member State other than France, the Client is required to provide a valid intra-community VAT number when creating their account. If this number is valid and verified, the invoice will be issued excluding VAT, and the Client will be solely responsible for self-assessing VAT in their country of establishment.
If a valid VAT number is not provided, French VAT at the applicable rate will be applied and charged to the Client.
Article 4.7: Invoicing and Digitalization
In accordance with the legal provisions in force as of January 1, 2026, the Seller will issue all invoices in electronic format. By accepting these General Terms and Conditions, the Client expressly agrees to receive their invoices electronically. These invoices will be transmitted via the digitalization platform chosen by the Seller or through the public invoicing portal.
The Client undertakes to immediately inform the Seller of any changes to their legal information or to their preferred method of receiving invoices.
ARTICLE 5: DELIVERY AND RETENTION OF TITLE
5.1 Delivery
The delivery address is the one provided by the Client in their order. Delivery includes only the Products specified in the order.
Except for hard-to-reach regions, the delivery time is generally between 2 and 7 business days after the order has been shipped. In any case, the delivery times are indicated at the time the order is placed and are counted from the date the order is confirmed by 100%. These delivery times are for guidance only.
In the event of a delay in delivery due to a transport or order preparation issue, 100% undertakes to inform the Client as soon as it becomes aware of the situation, indicating the expected delivery date.
The Seller cannot be held liable for delivery delays.
5.2 Retention of Title and Risk
The Client is responsible for the Products after delivery. The Products remain the property of 100% until full and effective payment of the price by the Client.
The risk of loss, damage, or destruction of the Products passes to the Client when the Client (or a person expressly designated by the Client who is not the carrier) takes physical possession of the Products at the delivery location specified by the Client.
5.3 Receipt of Order
Each order is accompanied by instructions for the use of the ordered Product.
Upon receipt of the Products, the Client must carry out inspections and make any necessary claims in the presence of the carrier, in accordance with the legal requirements.
At the time of delivery, if the Client observes that packages or packaging are damaged, either partially or entirely, or that Products are damaged, either partially or entirely, or that Products are missing, the Client undertakes to immediately note detailed reservations on the carrier’s receipt upon unloading the Products and to notify the Seller without delay. Within three (3) days, the Client must confirm the damages to the Products in writing by registered letter to the carrier and send a copy of this registered letter to the Seller within the same period.
The Client undertakes to store the Products under satisfactory and appropriate conditions, taking into account the nature of the Products. Such storage shall be the sole responsibility of the Client.
Failing this, and without prejudice to any claims under the warranty for hidden defects that may be enforced against the Seller by the Client, the Client shall be deemed to have irrevocably accepted the delivery without reservation. The Products shall be deemed compliant and can no longer be returned or exchanged, except in the case of hidden defects.

ARTICLE 8: INTELLECTUAL PROPERTY RIGHTS
All trademarks, logos, product names, and titles used on the Website are trademarks or trade names of 100% or of third-party owners. The Client is not authorized to use or reproduce these trademarks, logos, or trade names, as such use may constitute an infringement of the rights of their respective owners.
The rights to the Website’s design, texts, documents, videos, music, and/or other services, as well as their selection and arrangement, together with all software compilations, underlying source code, software, and all other elements contained on this Website, are owned by 100% or are licensed to 100% and/or its suppliers and subcontractors.
If the Client wishes to use any material or information from this Website, they must obtain the Seller’s prior written approval.
ARTICLE 9: FORCE MAJEURE
Neither Party shall be held liable for any failure to perform its obligations under these General Terms and Conditions if such non-performance results from a force majeure event as defined in Article 1218 of the French Civil Code or as recognized by the case law of French courts, and/or from circumstances beyond the reasonable control of the Parties.
The Parties acknowledge that force majeure events, as defined above, include, without limitation: acts of war, whether declared or not; embargoes; riots; insurrections; fires; sabotage; natural disasters; epidemics—including, but not limited to, pandemics such as the coronavirus (Covid-19); acts or measures of governmental authorities; inability to obtain raw materials, equipment, fuel, energy, components, labor, or transportation, etc.
The Parties acknowledge that the obligation to make payment is not a duty that can be suspended due to force majeure.

(i) as soon as reasonably possible after the start of the force majeure event, and no later than three (3) days after its commencement, notify the other Party in writing of the event, the date it began, its probable or potential duration, and the effect of the force majeure event on its ability to perform any of its obligations under this Agreement;
(ii) take all reasonable steps to mitigate the effect of the force majeure event on the performance of its obligations.
If the affected Party’s failure or delay in performing its obligations continues for more than two (2) months following the written notification provided under this article, the other Party shall be entitled to terminate this Agreement, subject to thirty (30) days’ prior written notice.
ARTICLE 10: LIABILITY
The Seller shall not be liable for any direct or indirect damage resulting from the use of the Product, including, without limitation, loss of opportunity, loss of business, or other damages or costs.
The Seller’s liability shall not be engaged for any damage suffered by the Client due to lack of maintenance, abnormal use, or modification of the Product by the Client.
The Seller shall be exempt from any liability in the event of non-performance or improper performance of this Agreement caused by the Client, by a force majeure event, or by an insurmountable and unforeseeable act of a third party.
The Seller disclaims any other liability, in particular, without limitation, regarding the marketing of the Products, their adaptation to a specific use, or the results obtained from the use of the Products.
ARTICLE 11: AMENDMENTS TO THESE GENERAL TERMS AND CONDITIONS OF SALE
These General Terms and Conditions of Sale apply to all orders placed online on the Website.
If 100% decides to amend these Terms and Conditions, the new version will be published on the Website. The Client is advised to regularly check for any modifications. Existing contracts shall not be affected by such amendments. The Terms and Conditions applicable to the Client-Seller relationship are those accepted by the Client at the time of their order.
ARTICLE 12: SEVERABILITY
If one or more provisions of these General Terms and Conditions are declared null, illegal, or unenforceable by a competent court, the remaining provisions shall retain their full force and effect, provided that the invalid provisions were not decisive in concluding the sales contract.
ARTICLE 13: GOVERNING LAW AND JURISDICTION
Any dispute relating to the interpretation or performance of these General Terms and Conditions of Sale shall be governed by French law.
In the event of a dispute regarding the interpretation or performance of these Terms and Conditions, the Client is invited to first contact 100%’s Customer Service to seek an amicable solution at: wholesale@100percent.eu
If the dispute is not resolved within three (3) months from the receipt of a registered letter with acknowledgment of receipt outlining the dispute, the matter may be brought before the courts of Lyon.
Les présentes conditions générales de vente en ligne (ci-après, indifféremment « les Conditions Générales » ou « le Contrat ») sont proposées par la société 100percent France, enregistrée au RCS de LYON sous le numéro 878 238 898 et dont le siège social se situe 1 bis Allée du Crêt ZAC du Parc d'Activité, 69890 La Tour-de-Salvagny (ci-après le « Vendeur », « 100% » ou « nous »).
ARTICLE 1 : CHAMP D’APPLICATION
Les présentes Conditions Générales ont pour objectif de définir les termes et conditions de la vente de fournitures et équipements divers (eg. Produits pour la moto, le vélo, le running, le baseball etc.) (ci-après indifféremment « le Produit » ou « les Produits ») proposés par 100%, aux professionnels (ci-après indifféremment « le Client » ou « le Professionnel », « Vous ») via le site internet : https://pro100percent.eu/ ci-après le « Site »).
Les présentes Conditions Générales régissent uniquement la vente de Produits sur le Site au profit de Professionnels.
Par l’acceptation de ces Conditions Générales, le Client reconnaît être un Professionnel, c’est-à-dire une personne physique ou morale, publique ou privée, qui agit à des fins et pour des besoins entrant dans le cadre de son activité commerciale, industrielle, artisanale, libérale ou agricole, y compris lorsqu'elle agit au nom ou pour le compte d'un autre professionnel.
Le Vendeur et le Client forment ensemble les parties au contrat de vente (ci-après « la Partie » ou « les Parties »).
Ces Conditions Générales restent accessibles et imprimables à tout moment via un lien hypertexte disponible en bas de chaque page du Site.
ARTICLE 2 : ACCEPTATION DES CONDITIONS GENERALES DE VENTE
Toute commande passée sur le Site implique la prise de connaissance préalable par le Client des présentes Conditions Générales et l’acceptation sans réserve de leur contenu.
La validation d’une commande suivant la procédure proposée par le Site et reprise ci-dessous vaut acceptation de ces Conditions Générales. Ces Conditions Générales, avec la confirmation de commande envoyée par le Vendeur, constituent le seul accord entre les Parties concernant l’objet de la commande et prévalent sur tout autre document contractuel.
Le Vendeur se réserve la faculté de modifier les présentes Conditions Générales. Les Conditions Générales applicables à une transaction donnée seront celles en vigueur et acceptées par le Client le jour de la validation de sa commande.
ARTICLE 3 : PROCEDURE DE COMMANDE SUR LE SITE 100%
Article 3.1 Procédure d’inscription sur le Site
Le Client peut passer une commande uniquement en tant qu’utilisateur enregistré. L’inscription en tant qu’utilisateur enregistré est gratuite.
Le Client a besoin d’une adresse e-mail pour passer une commande. Dans certains cas, il est possible qu’il lui soit nécessaire de configurer son navigateur pour accepter certains cookies et les fenêtres contextuelles nécessaires à la bonne fonctionnalité et à l’utilisation du Site, notamment pour l’ajout de Produit(s) dans le panier.
Article 3.2 Commandes
100% met à disposition sur le Site les caractéristiques essentielles et les renseignements techniques des Produits, ainsi que les informations sur le prix desdits Produits.
Le Client reconnait avoir pris connaissance des informations utiles avant la passation de sa commande.
Les commandes et livraisons ne sont acceptées que dans l’Union Européenne. Lorsque le Client soumet une commande sur le Site, le Vendeur lui envoie un e-mail accusant réception de sa commande (« Confirmation de commande »). Le Vendeur lui enverra également un e-mail confirmant que les Produits ont été expédiés (« Confirmation d’expédition »).
Les Produits présents sur le Site sont généralement en stock et prêts à être expédiés. Toutes les tailles ou couleurs en rupture de stock sont marquées comme indisponibles. Toutefois, il est possible que le Vendeur rencontre des problèmes de stock, notamment lorsque les Clients commandent des Produits en même temps.
Si le Vendeur n’est pas en mesure d’expédier un article déjà commandé en raison d’une indisponibilité du Produit, le Vendeur l’en informera dans les plus brefs délais. Dans ce cas, le Vendeur annulera ou rejettera cette partie de la commande et le montant correspondant sera remboursé au Client ou ne lui sera pas facturé.
Si le Client a passé une commande par erreur, ou s’il souhaite annuler une commande avant qu’elle ne soit expédiée, le Client doit contacter immédiatement le service client 100% en envoyant un e-mail à : wholesale@100percent.eu 100% fera ses meilleurs efforts pour trouver une solution.
Le Vendeur ne peut pas apporter ou accepter de modifications à la commande (adresse, taille, couleur) une fois que le Client a passé sa commande.
La commande effectuée par le Client peut être rejetée pour toute raison légitime, notamment dans les situations suivantes :
· Ses informations de facturation ne sont pas correctes ou ne peuvent pas être vérifiées ;
· Sa commande est signalée par les systèmes de sécurité du Vendeur comme identifiant une fraude, une potentielle infraction, un problème de sécurité ;
· Le Client n’est pas un Professionnel ;
· En cas de force majeure ;
· En raison de circonstances ou d’événements indépendants de la volonté du Vendeur.
Le Contrat n'est conclu qu'au moment de l'acceptation expresse par 100% de la commande par e-mail au Client et après encaissement de l’intégralité du paiement de la commande.
ARTICLE 4 : PRIX, PAIEMENT ET OFFRES PROMOTIONNELLES
Article 4.1 Prix
PRIX
Le prix des Produits est celui en vigueur au moment de la passation de la commande, et est exprimé en euros, hors taxe.
Les frais de livraison ne sont pas inclus dans les prix indiqués des Produits et sont dus en sus du prix des Produits commandés. Les frais de livraison sont également indiqués en Euros (€) avant le passage de la commande. Le prix total affiché sur l'écran de paiement final comprend les taxes et les frais d'expédition. Ce prix sera repris dans la confirmation de Commande.
Un franco de port sera appliqué pour toute commande dont le montant est supérieur à 250€ hors taxe.
CHANGEMENTS DE PRIX
Les prix des Produits seront ceux affichés sur le Site au moment de la validation de la Commande par le Client.
Les prix affichés sur le site peuvent changer, mais ces changements n'affecteront aucune commande confirmée par 100%.
Article 4.2 Modalités de paiement
Le Client est tenu de payer l’intégralité de la commande au moment de la validation de la commande.
Article 4.3 Retard de paiement
A défaut de paiement à échéance, le Client sera redevable de pénalités égales au taux d’intérêt appliqué par la Banque centrale européenne à son opération de refinancement la plus récente, majoré de 10 points de pourcentage. Les pénalités courent dès le jour suivant la date de règlement portée sur la facture. Les pénalités de retard sont exigibles sans qu’un rappel du Vendeur soit nécessaire.
Une indemnité forfaitaire de quarante (40) euros pour frais de recouvrement sera appliquée en cas de retard de paiement conformément aux articles L441-10 et D441-5 du Code de commerce. Si les frais de recouvrement exposés sont supérieurs au montant de cette indemnité forfaitaire, le Vendeur peut demander une indemnisation complémentaire, sur justification.
Si le Client n’a pas procédé au règlement des sommes dues (en ce compris les intérêts et l’indemnité forfaitaire de recouvrement) dans les quinze (15) jours suivant la date de règlement initiale, la vente sera résolue de plein droit et pourra ouvrir droit au Vendeur à des dommages et intérêts.
Article 4.4 Moyen de paiement
Le Client peut payer les produits par virement, par carte bancaire (Mastercard, Visa, American Express), PayPal et par d'autres moyens pouvant être applicables dans son pays.
Article 4.5 Offres promotionnelles/remises
Le code promotionnel ne peut être utilisé qu'une seule fois et n'est valable que pour les achats sur https://pro100percent.eu/
Le montant total de la commande doit être supérieur à la valeur du code de réduction.
Le code promotionnel doit être renseigné dans la page panier, champ « Entrez votre code promotionnel », puis cliquez sur « Appliquer »
Il convient de noter les éléments suivants :
· Un seul code promotionnel peut être utilisé pour une même commande, sauf indication contraire.
· Il n'est pas possible de combiner des codes de réduction avec des promotions existantes des offres.
· En cas de retour, la valeur du code promotionnel sera répartie proportionnellement entre les articles commandés.
La commande sera confirmée et pourra être livrée quand le Client aura effectué le paiement et que celui-ci aura été accepté.
Dans les cas où le paiement est refusé, 100% pourra contacter le Client pour lui proposer un autre mode de paiement.
Article 4.6 : TVA intracommunautaire
Pour toute commande passée par un Client professionnel établi dans un État membre de l’Union Européenne autre que la France, le Client est tenu de fournir un numéro de TVA intracommunautaire valide lors de la création de son compte. Si ce numéro est valide et vérifié, la facture sera établie hors taxes (HT), le Client étant alors seul responsable de l’auto-liquidation de la TVA dans son pays d'établissement. À défaut de fourniture d'un numéro de TVA valide, la TVA française au taux en vigueur sera appliquée et facturée au Client.
Article 4.7 : Modalité de facturation et dématérialisation
Conformément aux dispositions légales en vigueur au 1er janvier 2026, le Vendeur émettra l'ensemble de ses factures sous format électronique. Par l’acceptation des présentes Conditions Générales, le Client accepte expressément de recevoir ses factures de manière dématérialisée. Ces factures seront transmises via la plateforme de dématérialisation choisie par le Vendeur ou via le portail public de facturation. Le Client s'engage à informer immédiatement le Vendeur de toute modification de ses informations légales ou de son mode de réception des factures.
ARTICLE 5 : LIVRAISON ET RÉSERVE DE PROPRIÉTÉ
Article 5.1 Livraison
L’adresse de livraison est celle indiquée par le Client dans sa commande. La livraison comprend uniquement les Produits spécifiés sur la commande.
Hors régions difficilement desservies, le délai de livraison est généralement compris entre 2 et 7 jours ouvrables après l'expédition de la commande. En tout état de cause, les délais de livraison sont indiqués au moment du passage de la commande et courent à compter de la date de confirmation de la commande par 100%. Ces délais de livraison restent indicatifs.
En cas de retard dans la livraison lié à un problème de transport et de préparation de commande, 100% s’engage à informer le Client dès que 100% en a connaissance, en indiquant au Client la date de livraison envisagée.
Le Vendeur ne saurait être tenu responsable pour des retards de livraison.
Article 5.2 Réserve de propriété
Le Client est responsable des Produits après leur livraison. Les Produits restent la propriété de 100% jusqu'au paiement intégral et effectif du prix par le Client.
Le risque de perte, d’endommagement et de destruction des Produits est transféré au Client lorsque le Client (ou une personne expressément désignée par le Client qui ne soit pas le transporteur) prend physiquement possession des Produits au lieu de livraison déterminée par le Client.
Article 5.3 Réception de la commande
Toute commande s’accompagne d’une notice pour l’emploi du Produit commandé.
Le Client devra effectuer à l’arrivée des Produits, en présence du transporteur, les contrôles et les réserves auprès du transporteur dans les conditions requises par la loi.
A la livraison, si le Client constate que des colis ou emballages sont endommagés, partiellement ou en totalité, ou que des Produits sont endommagés partiellement ou en totalité, ou que des Produits sont manquants, le Client s’engage à faire immédiatement les réserves caractérisées sur le récépissé du transporteur au déchargement des Produits et à en informer immédiatement le Vendeur. Dans les trois (3) jours, le Client devra confirmer par lettre recommandée au transporteur les dommages sur les Produits et adresser une copie de cette lettre recommandée dans le même délai au Vendeur.
Le Client s’engage à stocker les Produits dans des conditions satisfaisantes et appropriées compte tenu de la nature des Produits. Ce stockage sera de l'entière responsabilité du Client.
A défaut, et sans préjudice de la garantie des vices cachés pouvant être mise en œuvre contre le Vendeur par le Client, le Client est réputé avoir irrévocablement accepté sans réserve la livraison. Les Produits seront réputés conformes et ne pourront plus être repris ni échangés, sauf en cas de vices cachés.
ARTICLE 6 : DIVERS
COMMUNICATIONS OU RECLAMATIONS

ARTICLE 7 : DONNEES PERSONNELLES
100% est amené à traiter sur son Site des données personnelles concernant ses Clients dans le cadre de la gestion des demandes d'information, et de la gestion des commandes.
Pour exercer ces droits ou pour toute question sur le traitement de ses données, le Client peut consulter la Politique de Confidentialité de 100% accessible dans l’onglet Politique de confidentialité.
ARTICLE 8 : DROIT DE PROPRIETE INTELLECTUELLE
Toutes les marques, logos, noms de produits et titres utilisés sur le Site sont des marques ou des noms commerciaux de 100% ou des marques ou des noms commerciaux de propriétaires tiers. Le Client n’est pas autorisé à utiliser ou reproduire ces marques, logos ou noms commerciaux, car cela pourrait constituer une violation des droits de leur titulaire.
Les droits sur la conception du Site, les textes, documents, films, musiques et/ou autres services et leur sélection et arrangement, ainsi que toutes les compilations de logiciels, le code source sous-jacent, les logiciels et tous les autres éléments contenus sur ce Site sont détenus par 100 % ou sous licence et/ou à ses fournisseurs et sous-traitants.
Si le Client souhaite utiliser du matériel ou des informations de ce Site, ce dernier doit obtenir l’approbation écrite préalable du Vendeur.
ARTICLE 9 : FORCE MAJEURE
Aucune des Parties ne pourra être tenue responsable en cas de manquement à ses obligations au titre des présentes Conditions Générales, si l'inexécution résulte d’un cas de force majeure tel qu’il est défini à l'article 1218 du Code civil français ou tel que retenu par la jurisprudence des juridictions françaises et/ou de circonstances extérieures indépendantes de la volonté des Parties.
Les Parties reconnaissent que les cas de force majeure, tels que définis ci-dessus, comprennent notamment, sans que cette liste soit limitative : les actes de guerre, même non déclarés, les embargos, émeutes, insurrections, incendies, sabotages, catastrophes naturelles, épidémies - y compris, mais sans s’y limiter, les pandémies telles que le coronavirus Covid-19, actes ou dispositions des autorités gouvernementales, l’incapacité à se procurer des matières premières, du matériel, du carburant, de l’énergie, des composants, de la main-d’œuvre ou des transports etc.
Les Parties reconnaissent que l’obligation de paiement n’est pas une obligation qui peut être suspendue pour force majeure.
La Partie affectée par le cas de force majeure devra :
(i) dès que raisonnablement possible après le début de l'événement de force majeure, et au plus tard trois (3) jours après son début, notifier par écrit à l’autre Partie l'événement de force majeure, la date à laquelle il a commencé, sa durée probable ou potentielle, et l'effet de l'événement de force majeure sur sa capacité à exécuter une quelconque de ses obligations en vertu du présent Contrat.
(ii) faire tout ce qui est raisonnablement possible pour atténuer l’effet de l’évènement de force majeure sur l’exécution de ses obligations.
Si le manquement ou le retard de la Partie affectée dans l'exécution de ses obligations se prolonge pendant une période supérieure à deux (2) mois après la notification écrite qu’elle a donnée en vertu du présent article, l’autre Partie sera en droit de résilier le présent Contrat sous réserve d’un préavis écrit de trente (30) jours.
ARTICLE 10 : RESPONSABILITE
Le Vendeur ne sera responsable d’aucun dommage direct ou indirect du fait de l’utilisation du Produit, que ce soit d’une perte de chance, d’exploitation, d’autres dommages ou frais.
La responsabilité du Vendeur ne saurait être engagée en cas de dommages subis par le Client du fait d’un défaut d’entretien, d’une utilisation anormale ou en cas de modification du Produit par le Client.
Le Vendeur est exonéré de toute responsabilité en cas d’inexécution ou de mauvaise exécution du présent contrat lié au fait du Client, lié à un cas de force majeure, ou lié au fait insurmontable et imprévisible d’un tiers.
Le Vendeur décline toute autre responsabilité notamment, sans que cette liste soit exhaustive, concernant la commercialisation des Produits, l’adaptation à un usage particulier ou les résultats tirés de l’utilisation des Produits.
ARTICLE 11 : MODIFICATION DES PRESENTES CONDITIONS GENERALES DE VENTES
Les présentes Conditions Générales de Vente s'appliquent à toutes les commandes effectuées en ligne sur le Site.
Si 100% décide de modifier les présentes Conditions Générales, leur nouvelle version sera publiée sur le Site. Il est conseillé au Client de vérifier régulièrement toute modification éventuelle. Les contrats existants ne seront pas affectés par ces modifications. Les Conditions Générales applicables dans la relation Client et Vendeur sont celles que le Client a accepté au moment de sa commande.
ARTICLE 12 : DIVISIBILITE
Si une ou plusieurs stipulations des présentes Conditions Générales sont déclarées nulles, illégales ou inapplicables par une juridiction compétente, les autres stipulations garderont toutes leur force et leur portée, à condition que ces stipulations n’aient pas été déterminantes dans la conclusion du contrat de vente.
ARTICLE 13 : LOI APPLICABLE ET JURIDICTION
Tout litige relatif à l'interprétation et à l'exécution des présentes conditions générales de vente est soumis au droit français.
En cas de litige relatif à l'interprétation ou à l'exécution des présentes Conditions Générales, le Client est invité à contacter en priorité le service client de 100% afin de trouver une solution amiable : wholesale@100percent.eu
En l’absence de règlement du litige dans un délai de trois (3) mois à compter de la réception de la lettre recommandée avec avis de réception mentionnant le différend, le litige pourra être porté devant les Tribunaux de Lyon.
